The ideal purchasing counsel is experienced with M&A work, personable, energetic, and enjoys the sense of accomplishment from resolving challenges which in turn lead to successful deal closings.  Experience/license requirements include: A California licensed attorney with prior significant experience in negotiations, due diligence and document drafting for asset, equity & real estate purchase/lease transactions, and (ii) general business counseling.  General accounting knowledge is very useful.  A particular location in California is not required for purchasing counsel, as (per above) the transactions are scattered geographically throughout the State of California.  The firm’s principal is willing to continue working as “of counsel” with the purchasing counsel for a period of time for a seamless transition, for introductions, and for retention of the goodwill of the practice.  Seller financing is potentially available, upon approved credit and background.
