I am a solo practitioner located in Southern California, previously located in Maryland. (The ideal buyer would certainly be admitted to practice in California, and it might be useful to also be admitted in DC, Maryland or Virginia, but we can discuss that further.) My client base is mostly small to medium sized companies, and certain individuals who do interesting deals.  My areas of practice have been limited (by me) to my areas of experience, which are corporate/LLC matters, business transactions, contracts and deals, mergers, acquisitions, and sales of businesses, financings (equity and debt), employment/non-compete arrangements (but not wage and hour law), structuring of business entities, consulting and master services agreements, exempt private placements of securities and related securities compliance (but not public company securities work), joint ventures, advising of boards of directors, light IP, etc. I have excellent clients, all of whom are nice people and easy to work with, who like working with me, and who pay their bills promptly and usually with a “thank you.” Many clients have been with me for 15-20 years, and have come back to me over and over as they do a new business transaction, or have a new major contract to review, etc. Many of my referrals are from existing clients, CPAs I have worked with on multiple deals, etc. Part of my practice is this repeat business over several years, but admittedly some is derived from representing the seller of a business who therefore is unlikely to be a repeat client. Many of my clients won’t have another go-to lawyer to easily replace me, so I would expect that, upon the announcement of my retirement to them, many would, first, say they are really sorry to hear that, and then, second, ask me for a recommendation for a new attorney, so that would put my buyer in as good a position as anyone. I want to make sure my clients are well provided for after my retirement. There have been many occasions where a client asks if I can handle litigation, real estate, rank and file employee issues, wills and trusts, or other areas outside of my area of expertise, and I have declined (instead, referring that work out), so the right buyer of my practice, with expertise in some of those areas, might actually be able to generate more billings than I have. My annual fee collections for the last four years are as follows: 2021 - $257k 2022 - $213k 2023 - $278k 2024 - $517k (annualized, based on first 4 months results through April)  Note that the 2024 annualized number will certainly not be reached, because I have been working on a few very significant transactions during the first third of 2024, that likely will not carry through the year. Having said that, as the above numbers show, my billings have been generally increasing, and certainly 2024 should be above the level of 2023 (given that, so far this year, I have collected $173k).  Regarding my asking price, I am hoping to realize some reasonable amount from my efforts over the last 21 years. Based on comparables on this Exchange, I have picked the number of $300,000 as a target.  I have been an attorney for over 40 years. Prior to starting my own practice in 2003, I was a full equity partner in two BigLaw international law firms. I am AV rated, and have a completely clean record with the three bars where I am admitted. I am not looking to be of-counsel or to otherwise continue to practice law for the buyer. However, of course I would be happy to assist in transitional matters such as client introductions, forwarding of electronic files, etc., to make this as smooth a transition as possible for my clients and my buyer.
